Experts.app AI Vault Subscriber Terms

These AI Vault Subscriber Terms (“Agreement”) govern your subscription to the AI Expert Personal Vault™ and AI Expert Team Vault™ services (together, the “AI Vaults” or each a “Vault”) offered by Experts Infinity LLC (“Experts.app,” “we,” “our,” or “us”). By subscribing, you agree to be bound by this Agreement. If you do not agree, do not subscribe.

If there is a conflict, these AI Vault Subscriber Terms control for your subscription.

  1. Subscription and Billing

    • Plans. Subscriptions are available on a monthly or annual basis and automatically renew until cancelled.
    • Payment. Fees are charged at the start of each billing period to your designated payment method.
    • No Refunds. All subscription fees are non‑refundable.
    • Cancellation. You may cancel at any time through your Experts.app profile or by contacting us at [support email]. Cancellation takes effect at the end of your current billing period.
    • Vault Deletion. After your billing period ends, your AI Vault and its contents will be permanently deleted.

  2. Subscriber Data and Privacy

    • Ownership. You retain ownership of your AI Vault content (“Subscriber Data”).
    • License. You grant Experts.app a limited license to store, back up, and process Subscriber Data solely to provide the service.
    • Privacy. AI Vault content is private and not treated as public “User Generated Content.”
    • Policy. Data is handled in accordance with our Privacy Policy.

  3. Acceptable Use

    • No Violations. You may not violate laws or infringe intellectual property or privacy rights.
    • No Malware. You may not upload malware, spam, or automated scraping tools.
    • No Sensitive Data. You may not store regulated or highly sensitive data (including HIPAA, PCI, or government‑classified information).
    • No Harmful Content. You may not promote violence, hate, harassment, or exploitation.
    • No Misuse. You may not attempt to reverse engineer, copy, or misuse the platform.

  4. Artificial Intelligence (AI) Features

    • AI Inputs and Outputs. You are responsible for any content you submit (“AI Inputs”) and for reviewing any content generated (“AI Outputs”).
    • Ownership. You retain rights to use and exploit your AI Outputs, subject to this Agreement. AI Outputs may not be unique across users.
    • Disclaimers. AI Expert is a support tool, not a substitute for professional judgment. Neither Experts.app nor its experts are liable for reliance on AI Outputs.
    • Security. AI Experts operates in a siloed knowledge library dedicated to you.
    • Data Use. Subscriber Data and AI Inputs may be processed to operate, secure, and improve AI features, consistent with our Privacy Policy.
    • Prohibited Use. You may not use AI Expert to generate harmful, unlawful, or infringing content.

  5. Security and Service Disclaimer

    • As‑Is. The AI Vault is provided “as‑is” without warranties or service‑level guarantees.
    • Security. We use commercially reasonable security measures but cannot guarantee against all risks.
    • Backups. You are responsible for maintaining your own backups of critical data.

  6. Arbitration and Governing Law

    • Governing Law. This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles.
    • Arbitration. Any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted remotely unless both parties agree otherwise.
    • Enforcement. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

  7. Limitation of Liability

    • Exclusions. We are not liable for data loss, service interruptions, unauthorized access, or reliance on AI Vault content or AI Outputs.
    • Cap. Our total liability under this Agreement is limited to the greater of (a) the fees you paid in the 12 months before the claim, or (b) $100.

  8. Age and Eligibility

    • Minimum Age. You must be at least 18 years old, or 13+ with parental consent.
    • Restriction. Children under 13 are not permitted to use the service.

  9. Additional Terms for Team Vaults

    • Admin Controls. Team administrators manage invitations, removals, and permissions.
    • Responsibility. Customer is responsible for all activity by its Authorized Users.
    • Seat Management. Fees are based on the number of Authorized Users. Customer is responsible for managing seats and paying for any additional seats activated.
    • Confidentiality. Each party agrees to protect the other’s confidential information with reasonable care and not to disclose it except as required by law or to provide the services.
    • Indemnification. Customer will indemnify and hold Experts.app harmless from claims arising out of misuse of the Team Vault, violation of law, or infringement of third‑party rights by its Authorized Users.

  10. Miscellaneous

    • Entire Agreement. This Agreement is the entire agreement for your AI Vault subscription.
    • Severability. If any provision is invalid, the remainder remains enforceable.
    • Updates. We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance.
